1. AGREEMENT TO OUR LEGAL TERMS

We are MZ Growth LLC (“Company”, “we”, “us”, “our”), a limited liability company organized under the laws of the State of New York and based in the United States. We operate the website us.mzgrowth.com and related services.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and MZ Growth LLC, concerning your access to and use of our website and services. By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using our website and services and must discontinue use immediately.

The services are intended for users who are at least 18 years of age. Persons under the age of 18 are not permitted to use or register for the services.

2. OUR SERVICES

Marketing and lead-generation services for home-improvement contractors, including Meta and Google ads management, lead generation, appointment setting, CRM integration, and related digital marketing services.

The information provided when using the services is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, persons who choose to access the services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

3. USER REPRESENTATIONS

By using the services, you represent and warrant that:

• all registration and business information you submit is true, accurate, current, and complete;
• you will maintain the accuracy of such information and promptly update it as necessary;
• you have the legal capacity and agree to comply with these Legal Terms;
• you are not a minor in the jurisdiction in which you reside;
• you will not access the services through automated or non-human means;
• you will not use the services for any illegal or unauthorized purpose; and
• your use of the services will not violate any applicable law or regulation.

4. PURCHASES AND PAYMENT

We accept the following forms of payment:

• Visa
• Mastercard
• US bank transfer (ACH / wire)

You agree to provide current, complete, and accurate purchase and account information for all purchases made through the services, and to promptly update payment information so we can complete your transactions and contact you as needed. All charges are payable in US dollars (USD). Applicable sales tax will be added to the price of purchases where required by law.

We reserve the right to refuse any order placed through the services. We may, in our sole discretion, limit or cancel quantities purchased or orders that appear to be placed by dealers, resellers, or distributors.

5. REVSHARE AND BILLING

Services are provided through a revenue-share partnership. An agreed percentage of the revenue from jobs that close from MZ-generated appointments is payable to us. No retainer, setup fee, per-lead charge, or per-estimate charge applies.

If no jobs close within a cycle, nothing is payable for that cycle. Fees are invoiced only after a job generated through our campaigns is signed and paid, calculated as the agreed percentage of that job’s revenue.

RevShare partnerships run month to month unless cancelled. You may cancel at any time by contacting us using the details in the Contact Us section. Cancellation takes effect at the end of the current cycle, and amounts already earned for that cycle remain payable except as set out in Refunds and Cancellations.

6. FULFILLMENT POLICY

All services are delivered digitally. Following engagement, you will receive an email confirmation setting out the agreed scope of work and the delivery timeline, and you will be assigned a dedicated account manager.

• Onboarding is completed within 3-5 business days of engagement.
• Campaign setup and launch occurs within 5-7 business days of onboarding completion.
• Weekly check-ins and performance reporting are provided for the duration of the engagement.

7. CHANGES TO YOUR ORDER

If you need to change the scope, service area, or any other element of your order, contact us within 48 hours of placing it using the details in the Contact Us section. Requests made after that window will be accommodated where reasonably practicable but cannot be guaranteed.

8. REFUNDS AND CANCELLATIONS

Refunds are assessed on a case-by-case basis. Accidental or duplicate charges are refunded in full. Where a cancellation occurs within a period defined in your engagement agreement, prorated refunds may be issued for services not yet delivered.

Approved refunds are processed within 10 business days to the original payment method. Third-party advertising spend already paid to Meta, Google, or another platform on your behalf is not refundable by us.

9. INTELLECTUAL PROPERTY RIGHTS

We own or license all intellectual property rights in the services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, funnels, creative assets, and the MZ Growth Engine™ methodology, as well as our trademarks, service marks, and logos.

Subject to these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the services and to use materials we deliver solely for your internal business purposes. No part of the services may be copied, reproduced, republished, sold, licensed, or otherwise exploited for commercial purposes without our prior written permission.

10. PROHIBITED ACTIVITIES

You may not access or use the services for any purpose other than that for which we make them available. As a user, you agree not to:

• retrieve data or content to create or compile a collection, database, or directory without written permission;
• circumvent, disable, or interfere with security-related features of the services;
• trick, defraud, or mislead us or other users, particularly in an attempt to obtain sensitive account information;
• make improper use of our support services or submit false reports of abuse or misconduct;
• use the services in a manner inconsistent with any applicable law or regulation, including advertising-platform policies;
• upload or transmit viruses, Trojan horses, or other material that interferes with the use of the services;
• use automated systems such as scrapers, robots, or data-mining tools to access the services;
• attempt to impersonate another user or person, or use the username of another user;
• disparage, tarnish, or otherwise harm us or the services;
• copy, reverse engineer, decompile, or attempt to discover any portion of the software comprising the services.

11. PRIVACY POLICY

We care about data privacy and security. By using the services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. We process personal data in accordance with applicable United States federal and state privacy laws, including the California Consumer Privacy Act (CCPA/CPRA) where it applies, and you may exercise your rights to access, correct, or delete your personal information, and to opt out of its sale or sharing, at any time. 12. TERM AND TERMINATION

These Legal Terms remain in full force and effect while you use the services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. We may terminate your use or participation in the services or delete any content you submitted at any time, without warning, in our sole discretion.

13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the services at any time or for any reason at our sole discretion without notice. We have no obligation to update any information on our services.

We cannot guarantee the services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the services during any downtime or discontinuance.

14. GOVERNING LAW

These Legal Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You and MZ Growth LLC irrevocably agree that the state and federal courts located in New York County, New York shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

15. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES’ CONTENT AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS, ANY UNAUTHORIZED ACCESS TO OUR SERVERS, OR ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES. WE DO NOT WARRANT, ENDORSE, OR GUARANTEE ANY THIRD-PARTY PLATFORM, INCLUDING ANY ADVERTISING PLATFORM, AND WE ARE NOT RESPONSIBLE FOR THEIR POLICIES, PRICING, OR PERFORMANCE.

16. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
